1. Investment Adviser Status & Publisher’s Exclusion
iAccess Alpha is a financial media and conference platform. iAccess Alpha is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state regulatory authority. iAccess Alpha relies on the “publisher’s exclusion” from the definition of “investment adviser” as provided under Section 202(a)(11)(D) of the Investment Advisers Act of 1940 and corresponding state securities laws.
All information, presentations, and one-on-one dialogues facilitated during iAccess Alpha’s quarterly conferences (typically held in March, June, September, and December) are for informational and educational purposes only. 2. Section 17(b) Compensation Disclosure & Conflicts of Interest
In accordance with Section 17(b) of the Securities Act of 1933, iAccess Alpha discloses that it is compensated by companies that present at its conferences. iAccess Alpha receives a flat participation fee (currently $5,000) from each presenting company, which covers conference production, marketing, and platform operations.
iAccess Alpha also maintains relationships with certain partners and service providers who may pay fees for participation or involvement in iAccess Alpha programs. These financial arrangements create a conflict of interest, as iAccess Alpha has a financial incentive to feature such companies or partners. iAccess Alpha does not provide “buy,” “sell,” or “hold” recommendations on any security, and partners do not pitch or solicit investment opportunities to attendees.
3. Nature of Vetting & One-on-One Meetings
Day 1 company presentations are broadcast for informational purposes only and may be accessible to the general public. Day 2 meetings are facilitated between company management teams (including executives or investor relations representatives) and investors identified by iAccess Alpha.
Investors are not charged a fee to attend or participate. Vetting is limited to identity verification, professional background confirmation, and logistical scheduling. The facilitation of a one-on-one meeting does not constitute an endorsement, financial due diligence, or a suitability determination by iAccess Alpha. iAccess Alpha does not record one-on-one meetings.
4. No Fiduciary Duty & Forward-Looking Statements
iAccess Alpha is not a registered broker-dealer and does not act as a fiduciary. All participants are responsible for conducting their own independent due diligence and investment analysis.
